End User License Agreement

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("End User" or "you") and Wit Dating ("Licensor," "we," "us," or "our") for the use of the Wit mobile application (the "Licensed Application").

This Agreement is entered into between you and Wit Dating only, and not with Apple Inc. ("Apple"). Wit Dating is solely responsible for the Licensed Application and its content.

By downloading, installing, or using the Licensed Application, you agree to be bound by the terms of this EULA. If you do not agree, do not download, install, or use the Licensed Application.

1. Scope of License

1.1 Grant of License

Wit Dating grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Licensed Application on any device that you own or control, as permitted by the Apple App Store Terms of Service.

1.2 Restrictions

You may not:

Distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time.
Rent, lease, lend, sell, sublicense, assign, or otherwise transfer rights to the Licensed Application.
Copy (except as expressly permitted by this EULA and applicable usage rules), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application or any updates.
Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the Licensed Application.

1.3 Updates

The Licensor may from time to time provide updates, upgrades, or patches for the Licensed Application. Such updates may be required for you to continue using the Licensed Application. You agree that the Licensor may automatically deliver updates to the Licensed Application as part of your use of the Licensed Application.

2. Consent to Use of Data

You agree that the Licensor may collect and use technical data and related information, including but not limited to technical information about your device, system and application software, and peripherals, that is gathered periodically to facilitate the provision of software updates, product support, and other services related to the Licensed Application. The Licensor may use this information to improve its products and services, as described in the Privacy Policy.

3. Subscription Services

3.1 In-App Purchases

The Licensed Application may offer auto-renewing subscription plans that provide access to premium features. Subscription details, including pricing and billing frequency, are presented within the Licensed Application prior to purchase.

3.2 Billing

Payment will be charged to your Apple ID account at confirmation of purchase.
Your subscription will automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period.
Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of the selected plan.
You can manage and cancel your subscriptions by going to your account settings on the App Store after purchase.
Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription.

3.3 Free Trial

The Licensed Application may offer a free trial period for premium features. If you do not cancel before the free trial ends, you will be automatically charged for the selected subscription plan. You may cancel during the free trial period at no charge through your device's subscription settings.

4. AI-Generated Content

4.1 Nature of Content

The Licensed Application generates content using artificial intelligence, including message analysis, suggested replies, and coaching advice. You acknowledge and agree that:

AI-generated content is provided for entertainment and informational purposes only.
AI-generated content does not constitute professional advice of any kind, including but not limited to psychological, therapeutic, legal, or medical advice.
The accuracy, completeness, and appropriateness of AI-generated content cannot be guaranteed.
You are solely responsible for how you use any AI-generated content, including any suggested replies or coaching advice.

4.2 No Guarantee of Results

The Licensor makes no representation or warranty that the use of AI-generated content will produce any particular result or outcome in your personal life, relationships, or communications.

5. Third-Party Terms of Agreement

You must comply with applicable third-party terms of agreement when using the Licensed Application, including your wireless data service agreement and the terms of the applicable app store.

6. Maintenance and Support

6.1 Licensor Responsibility

Wit Dating is solely responsible for providing maintenance and support services for the Licensed Application, as specified in this EULA or as required under applicable law.

6.2 Apple Disclaimer

Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

7. Warranty

7.1 Disclaimer

THE LICENSED APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WIT DATING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

7.2 Warranty Claims

In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Licensed Application. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the Licensed Application.

Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are the sole responsibility of Wit Dating.

8. Product Claims

Wit Dating, and not Apple, is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of the Licensed Application, including but not limited to:

Product liability claims.
Any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement.
Claims arising under consumer protection, privacy, or similar legislation.

9. Intellectual Property Rights

In the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party's intellectual property rights, Wit Dating, not Apple, shall be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

10. Legal Compliance

You represent and warrant that:

You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country.
You are not listed on any U.S. Government list of prohibited or restricted parties.

11. Termination

This EULA is effective until terminated by you or Wit Dating. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination:

You shall cease all use of the Licensed Application.
You shall delete or destroy all copies of the Licensed Application in your possession.
All provisions of this EULA that by their nature should survive termination shall survive, including warranty disclaimers, limitation of liability, and dispute resolution provisions.

12. Third-Party Beneficiary

12.1 Apple

You and Wit Dating acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA (for App Store distribution). Upon your acceptance of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WIT DATING BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE LICENSED APPLICATION, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WIT DATING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WIT DATING'S TOTAL CUMULATIVE LIABILITY IN CONNECTION WITH THIS EULA AND THE LICENSED APPLICATION, WHETHER IN CONTRACT OR TORT OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE LICENSED APPLICATION OR ITS SUBSCRIPTION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

15. Severability

If any provision of this EULA is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

This EULA, together with the Privacy Policy and Terms of Service, constitutes the entire agreement between you and Wit Dating with respect to the Licensed Application and supersedes all prior or contemporaneous understandings regarding such subject matter.
